To be considered a sophisticated investor who can access the benefits of Private Wealth Advantage1, you must first qualify as wholesale. Wholesale investors must meet one of two criteria. Either:
- You must hold net assets worth more than $2.5 million; or
- Your gross household annual income must be at least $250,000 for the last 2 financial years
Sophisticated investors are required to obtain a certificate from a qualified accountant stating one of the above.
Yes, Private Wealth Advantage differs from a family office. A family office is a private advisory firm serving ultra-high-net-worth individuals (UHNWI), offering comprehensive solutions for their financial and investment needs, unlike traditional wealth management firms or banks with wealth management. It usually only serves a small number of families.
If you’re looking for a wealth management service which offers high net worth individual investments (HNWI investments), then you should speak to your Private Banker about Private Wealth Advantage, which is available to any Commonwealth Private client who is a sophisticated investor. It is a sophisticated investor offering for HNWI investments.
Under the Corporations Act 2001, 'sophisticated investors' who meet specific criteria are not required to be provided with a disclosure document (such as a prospectus or product disclosure statement) when offered shares in a company.
An investor may qualify as a sophisticated investor if they:
- Hold a certificate issued by a qualified accountant confirming that they (or their controller, if they are a company or trust) meet certain asset and income requirements. This certificate is available if the individual or controller has a gross income of at least $250,000 for each of the last two financial years or net assets of at least $2.5 million

A sophisticated investor, in addition to the above, typically has more experience in investing in financial products and does not have the regulatory protections provided to retail investors. Sophisticated investors possess a good understanding of the risks involved and the specific characteristics of the model portfolio, asset or fund they are investing in. Lastly, they would also meet the requirements of ASICs sophisticated investor test.
